Mick & Co. Athlete Partner Program Terms & Conditions Effective Date:

These Terms & Conditions (“Agreement”) govern participation in the Mick & Co. Athlete Partner Program (the “Program”). By applying to or participating in the Program, you (“Athlete,” “Affiliate,” or “Partner”) agree to be bound by this Agreement. Mick & Co. LLC (“Mick & Co.,” “Company,” “we,” or “us”) reserves the right to update or modify these terms at any time. 1. Eligibility 1.1 You must be at least 18 years of age, or have verifiable parental/guardian consent if under 18. 1.2 You must provide accurate and complete information when applying. 1.3 Mick & Co. reserves the right to approve or deny any application at its sole discretion. 1.4 Participation in the Program is a privilege and may be revoked at any time. 2. Enrollment 2.1 Upon approval, you will receive a unique referral link and/or discount code. 2.2 Your referral code and link are personal and may not be transferred, sold, or assigned without written consent from Mick & Co. 3. Commission Structure 3.1 Commissions are paid as a percentage of qualifying net sales generated through your unique referral link or code. 3.2 “Net sales” means total purchase amount excluding: Shipping Taxes Returns Refunds Chargebacks Fraudulent transactions 3.3 Commission rates may vary based on tier level or promotional campaigns. 3.4 Mick & Co. reserves the right to modify commission percentages at any time. 4. Tier System (If Applicable) 4.1 Tier levels are based on total verified sales volume within a defined period. 4.2 Mick & Co. reserves the right to adjust tier requirements and benefits. 4.3 Tier status does not guarantee exclusivity, sponsorship, or employment. 5. Payment Terms 5.1 Commissions are paid monthly, provided the minimum payout threshold of $[Insert Amount] has been reached. 5.2 Payments will be issued via PayPal, Stripe, ACH, or other designated method. 5.3 Affiliates are responsible for providing accurate payment details. 5.4 Affiliates are solely responsible for any taxes owed on earned commissions. 5.5 Mick & Co. reserves the right to withhold or reverse commissions for: Returned products Cancelled orders Fraudulent activity Violations of this Agreement 6. Prohibited Conduct The following actions are strictly prohibited: 6.1 Self-referrals or purchases made primarily to generate commission. 6.2 Posting referral codes on coupon aggregation sites without written permission. 6.3 Bidding on “Mick & Co.” branded terms in paid search advertising without written authorization. 6.4 Misleading, false, or exaggerated claims about Mick & Co. products. 6.5 Use of spam, automated messaging, or deceptive marketing tactics. 6.6 Any unlawful, defamatory, obscene, or harmful content in connection with Mick & Co. Violation may result in immediate termination and forfeiture of unpaid commissions. 7. Brand & Intellectual Property 7.1 Mick & Co. grants a limited, revocable, non-exclusive license to use approved brand assets solely for promoting Mick & Co. products. 7.2 Affiliates may not: Alter logos Create derivative branding Register domains or social handles using “Mick & Co.” Claim ownership or partnership beyond the Program 7.3 All intellectual property remains the sole property of Mick & Co. LLC. 8. Content & Representation 8.1 Affiliates must clearly disclose their affiliate relationship in compliance with FTC guidelines (e.g., #ad, #affiliate). 8.2 Affiliates represent and warrant that their promotional content: Does not infringe on third-party rights Is truthful and not misleading Complies with all applicable laws 9. Termination 9.1 Mick & Co. may terminate participation at any time, with or without cause. 9.2 Affiliates may terminate participation at any time by written notice. 9.3 Upon termination: Referral links and codes will be deactivated Outstanding unpaid commissions may be forfeited if termination is due to violation 10. Independent Contractor Status 10.1 Affiliates are independent contractors. 10.2 Nothing in this Agreement creates: Employment Agency Joint venture Ownership interest Affiliates have no authority to bind Mick & Co. in any agreement. 11. Limitation of Liability Mick & Co. shall not be liable for indirect, incidental, special, or consequential damages arising from participation in the Program. Participation is at the Affiliate’s own risk. 12. Modification of Terms Mick & Co. reserves the right to update these Terms & Conditions at any time. Continued participation constitutes acceptance of revised terms. 13. Governing Law This Agreement shall be governed by the laws of the State of Arizona, without regard to conflict of law principles. 14. Entire Agreement This Agreement constitutes the entire understanding between Mick & Co. and the Affiliate regarding the Program.
